Terms of Service & Portal Terms

These Terms of Service and Portal Terms ('Terms') govern your access to and use of truenorthline.com, any Northline client portal or invite flow, and any general pre-contract interactions with True Northline Digital LLC ('Northline', 'we', 'us', or 'our'). Paid client work is governed primarily by the signed Master Services Agreement, Statement of Work, invoice, or other written commercial document for that engagement.
01

1. Website and Client Portal Access

You may use our website and any Northline client portal only for lawful business purposes and only in a manner consistent with these Terms.

  • You are responsible for maintaining the confidentiality of your portal credentials and invite links.
  • You must not attempt to probe, disrupt, reverse engineer, or compromise our systems, hosting, authentication, or monitoring infrastructure.
  • Electronic communications, notices, and records delivered through email or the portal may be used as part of our operating and contract record.
02

2. Client Services, Contract Stack, and Payments

For paying clients, scope, pricing, deliverables, cancellation terms, pass-through costs, and commercial timing are governed by the signed MSA, SOW, invoice, or other written engagement record.

  • If a signed contract says something different from this public page, the signed contract controls.
  • Invoices are due as stated in the applicable contract or invoice.
  • We may pause work, support, deployments, or hosted administrative changes for undisputed overdue balances after notice.
  • Northline acts as an independent contractor and not as your employee, partner, or fiduciary.
03

3. Intellectual Property and Confidential Information

All right, title, and interest in this website, our branding, our frameworks, our reusable tooling, and our internal methods remain the property of Northline or its licensors. Ownership of client-specific deliverables is governed by the signed engagement documents. Confidential information exchanged in a client relationship is governed by the applicable contract terms.

04

4. Acceptable Use and Customer Materials

You are responsible for any content, credentials, assets, lists, or instructions that you provide to us.

  • You must have the rights needed to provide any materials, logos, media, code, or contact data you ask us to use.
  • You may not use our services for illegal, deceptive, fraudulent, abusive, or unauthorized activity.
  • You may not use our website or portal in a way that interferes with other users or with our infrastructure.
05

5. Disclaimer of Warranties and Third-Party Services

Our website, portal, and general services are provided on an 'AS IS' and 'AS AVAILABLE' basis except as otherwise expressly stated in a signed contract. We do not guarantee uninterrupted availability, specific business outcomes, ranking results, lead volume, conversion results, or error-free operation. Many services depend on third-party providers such as hosting companies, registrars, analytics vendors, email providers, payment processors, or cloud platforms, and we are not responsible for outages or policy changes caused by those third parties.

06

6. Limitation of Liability

To the maximum extent permitted by law, Northline and its contractors, agents, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, lost goodwill, or loss of data arising from use of the website, the portal, or our services. Any additional or different liability limits for paying clients are governed by the signed contract stack.

07

7. Governing Law, Termination, and Survival

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. We may suspend or terminate website or portal access for breach, abuse, or security risk. Provisions concerning payment obligations, ownership, confidentiality, warranty disclaimers, limitations of liability, and any accrued rights or remedies survive termination.
